Terms of Service

1. What the Service is

Cosmic LMS is a hosted learning management platform. It lets you create courses and lessons, publish them to your students, track their progress, grade submitted work and issue certificates.

The Service is sold as a subscription with usage-based limits on storage and bandwidth. The current plans, prices and limits are published at cosmiclms.app and are part of these Terms.

The platform core is also available as source-available software under the Sustainable Use License. Running it on your own infrastructure is governed by that license, not by these Terms. These Terms apply only to the hosted service we operate.

2. Accounts

You must provide a valid email address and keep your account details accurate. You are responsible for everything that happens under your account, including actions by teachers and administrators you invite.

You must keep your credentials confidential and notify us at contact@cosmiclms.app if you believe your account has been compromised.

You must be legally capable of entering into a contract in your jurisdiction. If you register on behalf of an organisation, you confirm you are authorised to bind it to these Terms.

3. Your content

You keep all rights to the courses, lessons, media and other material you upload ("Your Content"). We claim no ownership over it.

You grant us a limited licence to store, process, transmit and display Your Content strictly as needed to operate the Service for you and your students — for example, to serve a video to an enrolled student or to generate a certificate.

You are responsible for having the rights to everything you upload, and for it being lawful in the countries where you and your students are located.

4. Acceptable use

You may not use the Service to distribute malware, to host content that infringes third-party rights, to publish material that is illegal in the Republic of Armenia, or to send unsolicited bulk email.

You may not attempt to bypass plan limits, probe or attack our infrastructure, or resell raw platform capacity as if it were your own hosting product.

We may suspend an account that puts the platform, other customers or their students at risk. Where the situation allows it, we contact you first and give you a chance to fix the problem.

5. Plans, billing and usage

Paid plans are billed monthly in advance through Lemon Squeezy, which acts as the merchant of record for the transaction. Their buyer terms apply to the payment itself.

Each plan includes an allowance of storage and monthly bandwidth. On the free plan, uploads pause when the allowance is exhausted — you are never charged for overage. On paid plans, usage above the allowance is billed at the per-gigabyte rate published on the pricing page.

We may change prices with at least 30 days notice by email. The new price applies from your next renewal, and you can cancel before it takes effect.

Refunds are covered by our separate Refund Policy.

6. Cancellation and termination

You can cancel at any time. Your subscription stays active until the end of the period you already paid for, after which the account moves to the free plan.

While the account is active you can request a copy of your content and account data by writing to contact@cosmiclms.app; we provide it within 30 days. After an account has been inactive on the free plan for 12 months, we may delete its data after giving you 30 days notice by email.

We may terminate an account for a serious or repeated breach of these Terms. If we do so without cause, we refund the unused portion of the current billing period.

7. Availability

We work to keep the Service available, but we do not promise uninterrupted operation. Maintenance, provider outages and incidents happen.

No service level agreement applies to the free plan. If we introduce a formal SLA for paid plans, it will be published on this site and will apply from its stated date.

8. Liability

The Service is provided "as is". To the extent permitted by law, we exclude implied warranties of merchantability and fitness for a particular purpose.

Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

We are not liable for indirect or consequential losses, including lost revenue or lost data, except where such exclusion is not permitted by law.

Nothing in these Terms limits liability for fraud or for anything else that cannot lawfully be limited.

9. Changes to these Terms

We may update these Terms. If a change materially affects your rights, we notify you by email at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the new version.

10. Governing law

These Terms are governed by the law of the Republic of Armenia. Disputes that cannot be resolved by negotiation are subject to the courts of the Republic of Armenia.

If you are a consumer in the European Union or the United Kingdom, this does not deprive you of the protection of mandatory consumer rules in your country of residence.
